Anything missing at kickoff = scope locks from what's available, no refund for that. Terms §4.
Terms of Service.
These Terms govern the relationship between you ("Client") and Zaid Yasyaf, an Indonesian individual sole proprietor (perorangan) doing business as "uncle-z studio" ("we", "us", "Provider"), when you purchase a service via book.uncle-z.com. Contracts are entered into by Zaid Yasyaf in his individual capacity until a limited liability company (PT) is incorporated.
1. Services
We provide productized software development services with fixed scope and fixed price as described on each service detail page. The scope-in and scope-out lists on each service page are part of these Terms by reference.
2. Booking and payment
Bookings are confirmed when payment is received in full. Payment is processed by our payment gateway (payment.uncle-z.com), which routes to licensed payment service providers. We do not store or process card data ourselves.
3. Kickoff and delivery
After payment, you receive a confirmation email with a link to schedule a kickoff call (Cal.com). Kickoff must be scheduled within 5 business days of payment — the booking calendar enforces this window automatically. Scope is confirmed in writing by email within 1 business day after the kickoff call. Delivery occurs on the date stated on the service page (e.g. "4 weeks") starting from kickoff.
4. Client responsibilities (readiness)
By booking, you commit to scheduling the kickoff call within 5 business days of payment, and to bringing to that call the materials listed in the "Come ready with" section of the service detail page (also repeated in your confirmation email and the booking form). These typically include: project goals, target users, must-have feature list, brand/design materials, repository or system access, decision-maker availability, and any third-party credentials.
If anything is missing at kickoff, the kickoff still happens and scope is locked from what's available — there is no refund or rescheduling for the missing items. This is the explicit deal: fixed price + fixed timeline only works when the client is ready. Delays caused by missing client materials extend the delivery date by an equal number of business days, with no extension of the warranty period.
5. Scope changes (revisions and change-orders)
Pre-kickoff revisions. Between payment and the kickoff call, you may refine the brief by replying to the confirmation email. The kickoff call uses the latest version of the brief. As long as the revised brief fits the bought tier, the price doesn't change. If it pushes outside the tier, the kickoff call gives you two options: cancel for a full refund (per Refund Policy §1), or proceed with a change-order at the new price.
Post-kickoff changes. After kickoff, scope is locked in the written summary email. Minor adjustments (clarifications, small swaps of similar weight) are absorbed at no charge. Meaningful additions are handled as change-orders or a follow-up engagement, in one of two ways:
- In-catalog additions (the new scope fits another service we already sell — e.g. you bought MVP Build and now also want Payment Integration): just book that service via book.uncle-z.com. Two engagements run in parallel or sequentially.
- Out-of-catalog / bespoke (the addition doesn't fit any existing service): book a free 15-min Quick Chat at cal.com/uncle-z/quick-chat. We send a written quote + invoice. Work begins after payment.
If we can't agree on a change, the original scope ships as agreed; the requested change moves to a separate engagement. Refunds do not apply to change requests after kickoff — see Refund Policy §3.1.
6. Intellectual property
Upon full payment and final delivery, all custom code and deliverables created specifically for you under the engagement are transferred to you. We retain rights to general-purpose tools, libraries, and patterns we developed independently and used to deliver the service.
7. Confidentiality
We treat as confidential all non-public information you share with us. We do not use your code, data, or business information to train models, in marketing materials, or with third parties, without your written consent. If you require a separate signed NDA, send your template at booking and we will sign before kickoff — we do not provide our own NDA template; this clause is the default protection.
8. Warranties and limitations
Services are delivered on a best-effort professional-services basis. We warrant that we apply reasonable industry skill and care. We do not warrant fitness for a particular purpose beyond the agreed scope. Our total liability under any engagement is capped at the fees you paid for that engagement.
9. Refunds
See the Refund Policy for full refund terms. In summary: full refunds before kickoff, partial refunds for material delays per the service-specific terms, no refunds after final delivery has been accepted, and no refunds for scope reductions caused by missing client materials at kickoff.
10. Termination
Either party may terminate an engagement for material breach with 7 days' written notice. On termination by you for our breach, you receive a refund proportional to the work not delivered. On termination by us for your breach, no refund is owed.
11. Governing law
These Terms are governed by the laws of the Republic of Indonesia. Disputes will be resolved by negotiation in good faith first; failing that, by the courts of Jakarta Pusat.
12. Changes
We may update these Terms; the version in effect at the time you book is the version that governs your engagement. Material changes will be announced on this page.
13. Contact
Questions: hello@uncle-z.com. See /legal for our full business contact details.
We aim to be fair and clear. The short version: full refund before kickoff, partial refunds for material delays we cause, and no refunds after final delivery has been accepted.
1. Full refund — before kickoff
If you cancel before kickoff (i.e. before we've scheduled or held the kickoff meeting), you receive a 100% refund. Refunds are issued to the original payment method within 14 business days.
2. Material delay refunds
If we deliver materially later than the agreed date, refunds apply as follows:
- Up to 1 week late: no refund (within normal variance).
- More than 1 week late: 25% refund.
- More than 2 weeks late: 50% refund.
- More than 4 weeks late: at your option, full refund and termination of the engagement, with any work-in-progress code transferred to you "as-is".
These do not apply to delays caused by missing materials or feedback from your side.
3. After delivery
Once you accept delivery (in writing or by using the deliverables in production), no refund is owed. Bug fixes during the warranty period (typically 7 days post-delivery, stated on each service page) are provided free of charge.
3.1 Scope changes — refunds vs. change-orders
Pre-kickoff: you can refine your brief by replying to your confirmation email; we use the latest version on the kickoff call. No price change as long as the revised brief fits the bought tier. If it pushes outside the tier, the kickoff call gives you two options: cancel for a full refund (per §1), or proceed with a change-order at the new price.
Post-kickoff: scope is locked in the written summary email. Meaningful additions are handled as change-orders or follow-up engagements:
- In-catalog — book that service via book.uncle-z.com.
- Out-of-catalog / bespoke — book a free 15-min Quick Chat at cal.com/uncle-z/quick-chat; we send a written quote + invoice, work begins after payment.
Refunds do not apply to change requests after kickoff, and they do not apply to scope reductions caused by missing client materials at kickoff (see Terms §4 and §5). Original scope still ships as agreed.
4. Per-service specifics
Each service page lists any service-specific refund terms (for example, the MVP Build service has explicit "25% if 1 week late, 50% if 2 weeks late" terms). If the per-service terms differ from this general policy, the per-service terms take precedence for that engagement.
5. How to request a refund
Email hello@uncle-z.com from the email address you used to book, with the subject "Refund request — [service name]". We respond within 3 business days. Approved refunds are processed within 14 business days via the original payment method.
6. No partial refunds during delivery
We do not provide partial refunds for "deliverable cancellation mid-engagement" — once kickoff has happened, the engagement runs to completion, with delay-based refund triggers above as the safety net.
7. Disputes
If you disagree with a refund decision, please write to hello@uncle-z.com. We commit to resolve disputes by good-faith negotiation first. See Terms of Service for the formal dispute path.
8. Payment-method-specific notes
Refunds are issued to the original payment method. Some methods (e.g. virtual account) require us to collect your refund destination — we will contact you. Provider fees (typically < 1%) are non-refundable; refunds are net of those fees.
